CPA provides attestation, accounting, tax preparation and consulting services to approximately 75 business clients and 200 individual clients throughout the Western New York region. This business has been in operation for nearly twenty years and was acquired by the current owners during 1995.

CPA is privately owned S Corporation with two shareholders; both who are active in the business on a part-time basis and assisted by one employee. The owners have decided to sell the business in order to pursue other interests. Owners are willing to remain on for a reasonable period of time in order to facilitate a smooth transition of the practice to the new owner(s).

The business is being offered to a qualified buyer(s) for $300,000. The selling price represents the current fair market value of the equipment and goodwill of the business as illustrated in the Financial Summary. Further, the selling price represents approximately 1.5 times CPA's average gross revenue for 1997 and 1998. The general terms of this offer are outlined below.

The owners indicate that this practice would be ideal for a manager/senior manager level person from a regional or Big 5 accounting firm. The practice has not been involved with commission-based services or products nor a significant amount of high-level consulting services.
