XYZ is a provider of public pay phone service through approximately 100 phones in the Western New York area. This business has been in operation for nearly fifteen years and was acquired by the current owners during 1994.

XYZ is privately owned S Corporation with two shareholders; one is active in the business and the other is not. Its assets are not encumbered or otherwise pledged. The owners have decided to sell the business in order to pursue other business interests. The active owner is willing to remain on for a reasonable period of time in order to facilitate a smooth transition of the business to the new owner(s).

The business is being offered to a qualified buyer(s) for $150,000. The selling price represents the current fair market value of the equipment and goodwill of the business as illustrated on page 4. Further, the selling price represents slightly less than 3.25 times XYZ's average adjusted earnings for 1996 and 1997 as illustrated on page 3. The general terms of this offer are outlined on page 5
